Referral Agreement
Referral Agreement for Website Design Lead Submissions
This Referral Agreement (the “Agreement”) is made effective as of [Effective Date], between Future Link (referred to as “Company”), and [Referrer’s Name] (referred to as “Referrer”).
Referral Services
Referrer agrees to refer potential clients to Company for website design services. Referrals must be made in writing or via electronic communication, providing necessary contact information for the referred individual or business.
Commission Structure
Company agrees to pay Referrer a commission of 20% of the total value of any website design project successfully secured as a result of a referral by Referrer. Commission payments will be made after receiving payment from the referred client on the 1st of every month. Money from purchases must clear for 30 days before payment. Commission structures may change over time, but written notice will be given.
Duration
This Agreement shall commence on the Effective Date and shall continue in effect for a period of 1 year thereafter, unless terminated earlier by either party upon written notice. If our company is over-booked on website projects we may take a break on collecting leads and no longer be able to accept the freelancers’ leads for payment once properly informed. Either party may terminate the Referral agreement at any time.
Independent Contractor Status
The Referrer acknowledges and agrees that they are an independent contractor and not an employee, partner, or agent of the Company. Referrers shall have no authority to bind Company or to incur any obligation on behalf of Company.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the term of this Agreement.
Limitation of Liability
Futurelink shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or use, incurred by affiliates or third parties, arising out of or related to the affiliate program, even if Futurelink has been advised of the possibility of such damages.
No Warranty
Futurelink makes no representations or warranties of any kind, express or implied, regarding the affiliate program, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
Indemnification
Affiliates agree to indemnify, defend, and hold harmless Futurelink, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to affiliates’ participation in the affiliate program, including but not limited to any breach of the terms and conditions, violation of applicable laws, or infringement of third-party rights.
No Guarantee of Results
Futurelink does not guarantee or warrant any specific outcomes or results from affiliates’ participation in the affiliate program. Affiliates acknowledge that the success of their efforts depends on various factors beyond [Your Company Name]’s control, including market conditions, customer preferences, and competitors’ actions.
Force Majeure
Futurelink shall not be liable for any delay or failure to perform its obligations under the terms and conditions due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, or governmental actions.
Total Liability
In no event shall Futurelink’s total liability to affiliates or any third party arising out of or related to the affiliate program exceed the total commissions paid or payable to affiliates under the terms and conditions during the six (6) months preceding the event giving rise to liability. By participating in the affiliate program, affiliates acknowledge and agree to the terms of this liability disclaimer.
Modification Clause
Right to Modify
Futurelink reserves the right, at its sole discretion, to modify, amend, or update these terms and conditions, as well as any policies or procedures related to the affiliate program, at any time and without prior notice. Any changes will be effective immediately upon posting on the [Your Company Name] website or providing notice to affiliates through email or other means of communication.
Affiliate Notification
Affiliates are responsible for regularly reviewing the terms and conditions and other program-related documents to stay informed of any changes. Continued participation in the affiliate program after modifications constitute affiliates’ acceptance of the revised terms. If affiliates do not agree with the changes, they must immediately cease participation in the affiliate program.
Effective Date
Modifications to the terms and conditions will have a prospective effect and will not affect any rights or obligations arising prior to the effective date of the changes, unless explicitly stated otherwise by Futurelink.
No Waiver
The failure of Futurelink to enforce any provision of the terms and conditions or exercise any right or remedy shall not be construed as a waiver of such provision, right, or remedy. Waiver of any term or condition by Futurelink must be made in writing and shall not be deemed a continuing waiver of such term or condition or any other term or condition.By continuing to participate in the affiliate program, affiliates acknowledge and agree to be bound by any modifications made to the terms and conditions.
